This Influencer Contract is entered into as of [1. Effective Date] by and between [2. Brand Full Name] (the “Brand”) and [3. Influencer Full Name] (the “Influencer”), who operates the social media accounts described in [4. Platform and Handle].
1. Campaign.
The Influencer shall create and publish the content described in [5. Deliverables] on the platform identified above, in accordance with the campaign brief provided by the Brand and the timeline set out in [6. Content Schedule].
2. Content Approval.
The Influencer shall submit draft content to the Brand for approval before publishing. The Brand shall review and respond within [7. Approval Days] days, and the Influencer shall incorporate reasonable feedback before posting. The Brand shall not unreasonably withhold approval.
3. Compensation.
The Brand shall pay the Influencer [8. Compensation] for the deliverables, payable [9. Payment Terms]. The Brand shall also reimburse [10. Reimbursable Expenses] upon submission of receipts. If the campaign is cancelled by the Brand after [11. Kill Fee Trigger Date], a kill fee of [12. Kill Fee] shall be due.
4. Usage Rights.
The Influencer grants the Brand a license to use the published content for [13. Usage Duration] on the Brand’s own marketing channels, including [14. Usage Channels], for the purpose of promoting the campaign. The license does not transfer ownership of the content, and the Influencer retains the right to display the content in their portfolio. Any use beyond the license requires separate agreement.
5. FTC Disclosure.
The Influencer shall clearly and conspicuously disclose the paid partnership in each post, using the disclosure language required by the Federal Trade Commission and appropriate to the platform, such as #ad or #sponsored. The Influencer shall comply with all applicable advertising and endorsement guidelines.
6. Exclusivity.
During the term of this contract and for [15. Exclusivity Period] after the final post, the Influencer shall not promote or endorse competing brands in the category of [16. Competing Category] on the covered platforms.
7. Brand Safety.
The Influencer shall not publish content during the campaign term that is unlawful, defamatory, or inconsistent with the Brand’s image, and the Brand may terminate this contract immediately upon any material breach by the Influencer.
8. AI Training.
Unless otherwise agreed, the Brand shall not use the Influencer’s content, likeness, or voice to train artificial intelligence models or generate synthetic content, without the Influencer’s prior written consent.
